Terms of Service

Please read these Terms of Service ("Terms") carefully before using the Jevrix website or EHR platform. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, discontinue use immediately.

These Terms are between you and Jevrix Health Technologies Inc. ("Jevrix", "we", "us", or "our"), a corporation incorporated in Canada. If you are using Jevrix on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

Note for healthcare providers: Platform use is additionally governed by your executed Customer Agreement and Business Associate Agreement (BAA). In the event of a conflict between these Terms and your BAA with respect to Protected Health Information, the BAA controls.

1. Services

Jevrix provides a cloud-based Electronic Health Record (EHR) platform for healthcare providers, including scheduling, clinical documentation, prescriptions, patient intake, telehealth, patient portal, billing integration, lab management, and calendar integration. We may modify features with reasonable notice. Material changes to paid features will be communicated at least 30 days in advance.

Jevrix is a technology platform, not a healthcare provider. Nothing in the Platform constitutes medical advice. Clinical decisions are the sole responsibility of licensed healthcare professionals.

2. Accounts & Eligibility

To register and use the Platform, you agree to:

  • Provide accurate, current, and complete registration information and keep it updated.
  • Keep login credentials confidential, accounts may not be shared between individuals.
  • Notify us immediately of any unauthorised access at security@jevrix.com.
  • Deactivate accounts for users whose employment or engagement ends.

The Platform is intended for licensed healthcare professionals and their authorised staff in jurisdictions where such use is lawful. You must be at least 18 years old to create an account.

3. Acceptable Use

You agree to use the Website and Platform only for lawful purposes. You must:

  • Comply with all applicable laws including HIPAA, PHIPA, PIPA, PIPEDA, and professional licensing requirements.
  • Use the Platform solely for legitimate clinical and administrative healthcare purposes.
  • Ensure all authorised users are appropriately trained before accessing the Platform.
  • Maintain safeguards to protect patient data in accordance with applicable law.
  • Report known or suspected security incidents promptly.

4. Prohibited Conduct

You must not:

  • Store, process, or transmit data for which you lack legal authority.
  • Attempt to gain unauthorised access to our systems, servers, or networks.
  • Upload viruses, malware, or harmful code.
  • Reverse engineer, decompile, or attempt to extract source code from the Platform.
  • Scrape or use automated tools to extract data without written permission.
  • Resell or sublicense the Platform to third parties outside your organisation.
  • Impersonate any person or entity, or misrepresent your affiliation.
  • Remove or alter any proprietary notices or labels on the Platform.
  • Use the Platform in a way that could damage, overburden, or impair our infrastructure.

Violations may result in immediate account suspension or termination and may be reported to law enforcement.

5. HIPAA, PHIPA & Healthcare Data

All customers who store or process Protected Health Information (PHI) must execute a Business Associate Agreement (BAA) with Jevrix before any PHI is entered into the Platform. Use of the Platform for PHI without an executed BAA is a material breach of these Terms.

As the healthcare provider and data controller, you are responsible for:

  • Obtaining all required patient consents and authorisations for data collection and processing.
  • Ensuring compliance with your professional licensing obligations.
  • Training staff on HIPAA/PHIPA requirements and Platform security procedures.
  • Maintaining your own Notice of Privacy Practices.
  • Reporting workforce security incidents that may involve PHI.

6. Payment & Billing

Access to the Platform requires a paid subscription as set out in your Order Form or selected pricing plan. All fees are in USD unless otherwise stated.

  • Billing cycle: Subscriptions are billed monthly or annually in advance.
  • Refunds: Annual subscriptions are non-refundable unless Jevrix materially fails to deliver services.
  • Late payments: Overdue balances may incur interest at 1.5% per month. We may suspend access after written notice.
  • Taxes: Fees are exclusive of applicable sales tax, GST, or HST, which are your responsibility.
  • Fee changes: We will provide at least 60 days' written notice before increasing subscription fees, effective at next renewal.
  • Free trials: Provided "as is" without warranties. Continued use after the trial requires a paid subscription.

7. Intellectual Property

Jevrix owns all rights to the Website, Platform, and their content (software, design, trademarks, etc.). These Terms do not transfer any ownership rights to you.

Subject to these Terms and payment of fees, Jevrix grants you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for your internal healthcare operations during the subscription term.

You retain ownership of all data you input into the Platform ("Customer Data"). You grant Jevrix a limited licence to process Customer Data solely to provide the Platform services. We will not use Customer Data for any other purpose without your explicit written consent.

8. Confidentiality

Each party may access the other's non-public, proprietary information ("Confidential Information"). Each party agrees to use Confidential Information only to fulfil obligations under these Terms, protect it with at least reasonable care, and limit disclosure to those with a need to know under equivalent obligations. Confidentiality obligations do not apply to information that is publicly known, independently developed, or required to be disclosed by law.

9. Warranties & Disclaimer

Jevrix warrants that the Platform will perform materially in accordance with applicable documentation and that we will maintain reasonable security measures.

EXCEPT AS EXPRESSLY STATED ABOVE, THE WEBSITE AND PLATFORM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. JEVRIX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JEVRIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

JEVRIX'S TOTAL LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) FEES YOU PAID TO JEVRIX IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) USD $100.

11. Indemnification

You agree to defend, indemnify, and hold harmless Jevrix and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including legal fees) arising from your violation of these Terms, your use of the Platform, your violation of applicable law, or any claim by a third party arising from your clinical decisions or data handling.

12. Term & Termination

These Terms remain in effect until terminated. Platform subscriptions renew automatically unless cancelled by written notice at least 30 days before the renewal date.

Jevrix may suspend or terminate your access immediately for material breach (uncured within 10 days of notice), prohibited conduct, non-payment, or insolvency proceedings.

Upon termination:

  • All licences expire immediately.
  • You have 30 days to export your Customer Data; after that, it is securely deleted.
  • Sections on IP, confidentiality, warranties, liability, indemnification, and governing law survive termination.

13. Governing Law & Disputes

These Terms are governed by the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles.

The parties will attempt to resolve disputes through good-faith negotiation for at least 30 days before commencing formal proceedings. Any unresolved disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

To the extent permitted by law, you waive the right to bring claims as a plaintiff or class member in any class or collective proceeding.

14. General

  • Entire agreement: These Terms, together with the Privacy Policy and any Customer Agreement or BAA, form the entire agreement between you and Jevrix.
  • Severability: If any provision is found invalid, the remaining provisions continue in full force.
  • Waiver: Failure to enforce any provision is not a waiver of future enforcement.
  • Assignment: You may not assign these Terms without our written consent. We may assign in connection with a merger or acquisition.
  • Force majeure: Neither party is liable for delays caused by circumstances beyond reasonable control (natural disasters, government actions, internet outages).
  • Language: These Terms are in English. Les parties ont convenu que le présent contrat soit rédigé en anglais.
